الشروط والأحكام

تحكم الشروط والأحكام التالية ("الشروط والأحكام") العملية الكاملة للمشاركة في "مسابقة فيلم أمنية" ("المسابقة") وستكون ملزمة لكل مشارك ("المشارك" و/أو "الخاص بك" و/أو "أنت") المقيمين في دولة الإمارات العربية المتحدة ("الإقليم") الذي يشارك طوعًا في المسابقة التي تستضيفها ستار آسيانيت ميدل ايست منطقة حرة ذ.م.م مع الشركات التابعة لها والشركاء والوكالات وما إلى ذلك، حسب الحالة (يشار إليها مجتمعة باسم "الشركة") ويحدد، من بين أمور أخرى، شروط مشاركتك في المسابقة واختيار الفائز (الفائزين) في المسابقة. حيث تهدف المسابقة، من بين أمور أخرى، إلى الترويج للفيلم (الوارد بياناته أدناه).

تعتبر مشاركتك في المسابقة بمثابة موافقتك المطلقة على القواعد واللوائح والشروط والأحكام وسياسة الخصوصية المتاحة على [https://www.disneystar.com/legal-terms-policies/terms/contest-terms-conditions/wish-movie-contest-same-privacy-policy/] ("سياسة الخصوصية") على النحو المنصوص عليه من قبل الشركة من وقت لآخر (يشار إليها فيما يلي بشكل جماعي يشار إليها باسم "شروط المسابقة"). ستعتبر مشاركتك المستمرة في المسابقة بمثابة موافقتك على هذه الشروط والأحكام وسياسة الخصوصية. بغض النظر عن أي شيء يتعارض مع ذلك، في حالة عدم قيام الشركة بمشاركة روابط هذه الشروط والأحكام وسياسة الخصوصية، لأي سبب من الأسباب، فلن يعتبر ذلك بمثابة خرق من قبل الشركة لهذه الشروط والأحكام. إذا كنت لا توافق على الالتزام أو لا تستطيع الالتزام بأي من شروط المسابقة، فيرجى عدم المتابعة. سيؤدي فشلك في الالتزام بشروط المسابقة هذه وقبولها بالكامل إلى استبعاد مشاركتك في المسابقة.

تخضع المسابقة لشروط المسابقة، ومن خلال الدخول في المسابقة، يقر كل مشارك بأنه قد قرأ وفهم، ويوافق دون قيد أو شرط على الامتثال لشروط المسابقة هذه والالتزام بها. من الواضح أن قرارات الشركة بشأن جميع المسائل المتعلقة بالمسابقة ستكون نهائية وملزمة من جميع النواحي. كما إنك ستقر بأن مشاركتك في المسابقة تتم على أساس طوعي وغير مرغوب فيه.

تحكم سياسة الخصوصية جميع عمليات الجمع والتخزين والاستخدام والنقل والاحتفاظ والإفصاح عنها عن أي بيانات شخصية (الإعلان المحدد أدناه) و/أو أي معلومات أخرى على النحو المفصل في سياسة الخصوصية، بما في ذلك، على سبيل المثال لا الحصر، المعلومات المتعلقة بمشاركتك في المسابقة، والتي تم جمعها بموجب هذه المسابقة أو بموجبها من قبل الشركة (إن وجدت) (يشار إليها مجتمعة باسم "البيانات"). من خلال المشاركة في المسابقة:

‌أ- أنت تأذن للشركة وشركات مجموعتها وموظفيها وممثليها المعتمدين ووكلائها والمكلفين (يشار إليهم معًا باسم "الكيانات التجارية التابعة للشركة") بجمع بياناتك واستخدامها وتخزينها ونقلها والإفصاح عنها؛
‌ب- أنت تقر بأن البيانات مطلوبة من قبل الشركة و/أو الكيانات التجارية التابعة للشركة فيما يتعلق بمشاركتك في المسابقة. إن رفضك تزويد الشركة و/أو الكيانات التجارية التابعة للشركة بمعلومات معينة من شأنه أن يمنح الشركة الحق في استبعادك من المشاركة في المسابقة.

‌ج- أنت تسمح للشركة والكيانات التجارية التابعة للشركة بالاتصال بك باستخدام أنظمة الاتصال الهاتفي التلقائي وأنظمة الرسائل النصية التلقائية والرسائل الاصطناعية أو المسجلة مسبقًا، بما في ذلك على سبيل المثال لا الحصر الاستجابات الصوتية التفاعلية والخطوط الساخنة. من خلال المشاركة في المسابقة، فإنك تقر بأنك المالك أو المستخدم المعتاد لمعرف فيسبوك وانستغرام الذي شاركت من خلاله في المسابقة. أنت تقر أيضًا أنك المالك أو المستخدم المعتاد لرقم الهاتف المحمول، بما في ذلك رقم واتساب/معرف البريد الإلكتروني المقدم كجزء من الإدخال.

‌د- سيتمكن شركاء الطرف الثالث، بما في ذلك انستغرام وتطبيق واتساب و/أو أي شركاء اتصالات آخرين، من الوصول إلى، من بين أمور أخرى، البيانات الوصفية المتعلقة بالاتصالات (بما في ذلك الإدخال) التي أرسلتها إلى الشركة. سيختلف مدى قدرة هؤلاء الشركاء على الوصول إلى محتوى الاتصالات. يتعين عليك مراجعة سياسات الخصوصية الخاصة بهذه الأطراف الثالثة قبل المشاركة. الشركة ليست مسؤولة عن استخدام بياناتك من قبل هذه الأطراف.

‌ه- أنت تقر وتوافق بموجب هذا على كل ما سبق.

تبدأ المسابقة وتنتهي في التواريخ المحددة في العروض الترويجية للمسابقة ("فترة المسابقة"). سيتم إبلاغ الشركة بأي تغيير في فترة المسابقة عبر صفحات وسائل التواصل الاجتماعي و/أو أي وسيلة اتصال أخرى وفقًا لتقدير الشركة وحدها. لتجنب الشك، تم توضيح أنه ينبغي تقديم المشاركات خلال فترة المسابقة. ومع ذلك، يجوز اختيار الفائزين ويمكن للراعي توفير الجوائز بعد انتهاء فترة المسابقة.
أنت توافق وتقر بأنك غير مطالب بدفع أي مبالغ للشركة / الكيانات التجارية التابعة للشركة / الراعي مقابل المشاركة في المحتوى. ومع ذلك، فإنك تفهم وتقر بأن مزود خدمة الاتصالات الخاص بك قد يفرض رسوم إنترنت قياسية وفقًا للأسعار المعمول بها بالإضافة إلى رسوم متميزة عليك مقابل زيارة الموقع الإلكتروني/ الوصول إلى صفحات الوسائط الاجتماعية للمشاركة / قد يفرض مزود خدمة الإنترنت رسومًا معينة عليك مقابل استخدام خدماتهم المعمول بها فيما يتعلق بمشاركتك في المسابقة، والتي تتحملها أنت وحدك. توصي الشركة بمراجعة مزود الخدمة الخاص بك لمعرفة جدول الرسوم التي قد يتم تطبيقها.

(أولاً) أهلية المشاركين:

للمشاركة في المسابقة، يتعين على المشارك (المشاركين) الالتزام بما يلي:

1- ينبغي أن يكون المشارك (المشاركون) مقيمين فرديين في الإقليم وأن يقدم إثباتًا صالحًا للإقامة داخل الإقليم عندما تطلب الشركة ذلك، وألا يكونوا مواطنين في أي دولة خاضعة للعقوبات (حيث تعني الدولة الخاضعة للعقوبات الاتحاد الروسي وجمهورية دونيتسك الشعبية وجمهورية لوهانسك الشعبية وبيلاروسيا وبورما (ميانمار) وشبه جزيرة القرم وكوبا وجمهورية الكونغو الديمقراطية وإيران وساحل العاج وليبيريا وكوريا الشمالية والصومال والسودان وسوريا وزيمبابوي و أي دولة أخرى تطبق أو قد تستمر حكومة الولايات المتحدة ضدها في برامج العقوبات الاقتصادية الأمريكية، والتي قد يتم تحديثها من وقت لآخر).

2- المشارك (المشاركون) ليسوا مدرجين في أي قائمة للمواطنين المعينين بشكل خاص والأشخاص المحظورين الصادرة عن مكتب مراقبة الأصول الأجنبية التابع لوزارة الخزانة الأمريكية:

3- يلزم أن يكون عمر المشارك (المشاركين) 18 (ثمانية عشر) عامًا أو أكثر في تاريخ بدء فترة المسابقة.

4- ينبغي ألا يخضع المشارك (المشاركون) لأي قيود، أو أن يكون لديه ترتيب أو عقد يمنع المشارك (المشاركون) من المشاركة في المسابقة. كما ينبغي أن يكون المشارك (المشاركون) مؤهلاً قانونًا، وفقًا لقوانين الولاية القضائية التي يخضع لها (المشاركون)، لإبرام عقد.

5- لا ينبغي أن يكون المشارك و/أو أفراد أسرته المباشرين موظفًا (دائمًا أو متعاقدًا) و/أو مديرًا لما يلي: (أولاً) الشركة؛ (ثانياً) الكيانات التجارية التابعة للشركة؛ (ثالثًا) الراعي؛ و(رابعاً) وكالات الإعلان والترويج والموزعون وموردو الجوائز، بما في ذلك كل من الشركات الأم والشركات التابعة والشركات التابعة لها و/أو الكيانات المرتبطة بالترويج للمسابقة.

6- تحتفظ الشركة بالحق في التحقق من أهلية جميع المشاركين.

7- إن عدم امتثال المشارك (المشاركين) لأي وجميع شروط المسابقة أو كما تحددها الشركة من وقت لآخر سيجعل مشاركة هذا المشارك في المسابقة لاغية وباطلة.

(ثانيًا) آلية المشاركة:

1- خلال فترة المسابقة، سيتم نشر سؤال أو أكثر يتعلق بفيلم "أمنية" ("الفيلم") مع ثلاث خيارات - خياران غير صحيحين وخيار واحد صحيح (كل "سؤال" وبشكل جماعي "أسئلة") من قبل الشركة على أي من صفحات التواصل الاجتماعي التالية أو جميعها: صفحة ستار بلس الشرق الأوسط على فيسبوك، وصفحة ستار بلس الشرق الأوسط على انستغرام، وصفحة آسيانيت ميدل ايست على فيسبوك (يُشار إليها معًا باسم "صفحة وسائل التواصل الاجتماعي").

2- للدخول في المسابقة، يتعين على المشاركين متابعة صفحة (صفحات) وسائل التواصل الاجتماعي خلال فترة المسابقة ومشاركة الإجابة الصحيحة على الأسئلة في موعد لا يتجاوز التاريخ والوقت المحدد ("الموعد النهائي") في العروض الترويجية للمسابقة واتصالاتها ("العروض الترويجية للمسابقة"). لإرسال إجاباتهم على الأسئلة، يمكن للمشاركين (المشاركين) إرسال الإجابة الصحيحة عبر رسالة مباشرة إلى صفحات وسائل التواصل الاجتماعي الخاصة بشركة ستار آسيانيت ميدل ايست – صفحة ستار بلس الشرق الأوسط على فيسبوك [https://www.facebook.com/STARPlusMiddleEast]، أو صفحة على إنستغرام ستار بلس الشرق الأوسط [https://www.instagram.com/starplusmiddleeast]، أو صفحة ستار آسيانيت ميدل ايست على الفيسبوك [https://www.facebook.com/AsianetME/] مع رقم هاتفهم المحمول (يبدأ برمز دولة الإمارات العربية المتحدة "971+") بالتنسيق المحدد ("الإدخال"). أيضًا يتعين أن يكون تنسيق إرسال المشاركة كما هو منصوص عليه في العروض الترويجية للمسابقة. تحتفظ الشركة بالحق في تغيير تنسيق مشاركة الإدخال (المشاركات) في أي وقت خلال فترة المسابقة وفقًا لتقديرها الخاص، وفي هذه الحالة، سيتم إرسال نفس الشيء من قبل الشركة عبر صفحة وسائل التواصل الاجتماعي و/أو أي وسيلة اتصال أخرى وفقًا لتقدير الشركة وحدها. كما أن أي إدخالات يتم إرسالها عبر أي طريقة (طرق) اتصال أخرى، بما في ذلك على سبيل المثال لا الحصر، إلى أي صفحات وسائط اجتماعية أخرى خاصة بالشركة بخلاف صفحة الوسائط الاجتماعية الموضحة أعلاه أو لا يعتبر أي تنسيق بخلاف ما هو منصوص عليه أعلاه بمثابة مشاركة صالحة للمسابقة. ولأغراض هذه المسابقة، يعتبر مستخدم حساب فيسبوك / إنستغرام الذي يتم إرسال المشاركات منه إلى الشركة هو المشارك.

3- يُسمح فقط بالمدخل الأول للسؤال المعني من قبل المشارك ويتم أخذه في الاعتبار لغرض القائمة المختصرة. من أجل الوضوح، إذا أرسل أحد المشاركين عدة إدخالات لنفس السؤال، فسيتم النظر في الإدخال الأول فقط لذلك السؤال، ويعتبر أي إدخال (إدخالات) لاحقة لاغية وباطلة. علاوة على ذلك، فإن أي إدخال يتم إرساله بعد الأوقات النهائية للسؤال لن يعتبر إدخالاً صالحًا.

4- يتعين أن يقدم كل إدخال كافة المعلومات المطلوبة من المشارك (المشاركين). إذا لم يتم الالتزام بذلك، فلن يتم النظر في المشاركة في المسابقة وسيتم استبعادها. يتعين أن تكون جميع المعلومات المقدمة من قبل المشارك دقيقة وكاملة وتخضع لتقديم دليل (الأدلة) الإثبات من قبل هذا المشارك، بناءً على طلب الشركة. تم التوضيح أنه يتعين على المشاركين الذين قدموا بالفعل المعلومات المطلوبة في مشاركة سابقة تقديم المعلومات المطلوبة مرة أخرى في كل مشاركة جديدة يقدمونها.

5- يتعين على المشاركين (المشاركين) الدخول في المسابقة بالأصالة عن أنفسهم فقط ولن يتم قبول المشاركة (المشاركات) عن طريق الوكلاء.

6- تعتبر المشاركات التي تم استلامها قبل البدء و/أو بعد انتهاء فترة المسابقة باطلة. يكون تحديد الشركة لتاريخ ووقت استلام المشاركات نهائيًا وملزمًا لجميع المشاركين. أي مشاركات غير كاملة و/أو غير مقروءة ستؤدي إلى الحرمان من المشاركة في المسابقة واستلام أي جائزة.

7- لن تكون الشركة مسؤولة عن أي إدخال يتم تقديمه ولكن لم يتم استلامه أو تسجيله لأي سبب كان. دون الحد من عمومية ما سبق، لن تكون الشركة مسؤولة و/أو مسؤولة بأي شكل من الأشكال عن (أ) أي فعل أو إغفال من جانب أي مقدمي خدمة خارجيين، بما في ذلك الفشل في استلام/تسليم أي رسائل، بما في ذلك على سبيل المثال لا الحصر، تعطل خوادم فيسبوك/ إنستغرام، ومشكلات الشبكة (بما في ذلك الشبكة غير الواضحة)، تعطل الآلات، وتعطل الشبكة و/أو تكاليف الإنترنت/الشبكة التي يفرضها مشغل الاتصالات/الجوال/الشبكة وما إلى ذلك والتي قد يتكبدها المشارك أثناء المشاركة في المسابقة؛ (ب) الإدخالات المفقودة أو غير الصالحة أو الموجهة بشكل خاطئ أو المتأخرة أو غير المكتملة أو غير المفهومة أو بسبب معلومات الاشتراك غير الدقيقة، سواء كان ذلك بسبب المشاركين أو بسبب أي أخطاء فنية أو بشرية من أي نوع كانت قد تحدث أثناء معالجة هذه الإدخالات؛ (ج) أي خطأ في التشغيل أو النقل أو السرقة أو التدمير أو الوصول غير المصرح به أو تغيير الإدخالات أو الأعطال التقنية أو الشبكة أو الكمبيوتر أو الأجهزة أو البرامج من أي نوع، أو إرسال غير دقيق أو الفشل في تلقي أي معلومات دخول بسبب مشاكل فنية أو ازدحام حركة المرور على الإنترنت أو في أي موقع ويب، مما يؤدي إلى عدم استلام الإدخال. أي استلام تلقائي للتأكيد لا يشكل دليلاً على الاستلام الفعلي للدخول.

8- سيتم فقط النظر في المشاركات المؤهلة التي تم تلقيها من المشاركين المؤهلين خلال فترة المسابقة. يقر كل مشارك أن المشاركة أصلية وليست ملفقة لأغراض المسابقة.

9- يوافق المشارك (المشاركون) على أن المشاركة يلزم أن تكون خالية من استخدام أي فيروسات / الفيروسات الطروادية / برامج تجسس / برامج ضارة أو أي برنامج من هذا القبيل والتي قد تضر بأجهزة الكمبيوتر / النظام / الخوادم الخاصة بالمستلم وما إلى ذلك أو يحتوي على أي روابط تهدف إلى الإضرار و/أو توفير الوصول غير المصرح به إلى جهاز الكمبيوتر الخاص بالمستلم والبيانات الموجودة فيه.

10- سيكون بعض المشاركين المختارين مؤهلين للحصول على الجائزة (كما هو محدد أدناه) وفقًا لقسم عملية الاختيار والهدايا الوارد أدناه.

(ثالثًا) عملية الاختيار والهدايا:

1- يتعين على الشركة، في غضون سبعة (7) أيام بعد انتهاء فترة المسابقة أو كما تقرره الشركة وفقًا لتقديرها الخاص، أن تقوم بشكل عشوائي بوضع قائمة مختصرة لا تزيد عن 5 (خمسة) مشاركين (باستخدام أداة التوزيع العشوائي لاختيار الفائز من بين جميع المشاركين الذين لقد أجبت على السؤال (الأسئلة) بشكل صحيح) الذين سيكونون مؤهلين للحصول على الجائزة (يُشار إلى كل منهم باسم "الفائز" وبشكل جماعي باسم "الفائزين") وفقًا لشروط المسابقة. سيُطلب من هؤلاء الفائزين استيفاء جميع المتطلبات المنصوص عليها في هذه الشروط والأحكام بما في ذلك تقديم مستندات صالحة (محددة هنا أدناه) بما يرضي شركة ستار.

2- سيحصل كل فائز (فائزين) على فرصة للفوز بتذكرتين/دعوتين للفيلم ("الجائزة") والتي سيوفرها الراعي، وقد تكون الجائزة مصحوبة بمزايا أخرى يتم إصدارها وفقًا لتقدير الراعي بالقرب من وقت منح الهدايا. تم التوضيح صراحةً أن الراعي يقوم بتوفير الجائزة وإلى الحد الأقصى المسموح به بموجب القوانين المعمول بها، لن تتحمل الشركة/الكيانات التجارية التابعة للشركة المسؤولية فيما يتعلق بذلك. قد تكون الجائزة في شكل تذاكر مادية أو دعوة بريدية أو رموز رقمية وفقًا لتقدير الشركة وحدها. إذا اختار الراعي، وفقًا لتقديره الخاص، إصدار تذاكر مادية كجائزة، فيتعين على الفائزين استلام التذاكر المادية في ذلك التاريخ ومن هذا الموقع كما تم إبلاغه إما من قبل الشركة (بالنيابة عن الراعي) أو الراعي مباشرة. أنت توافق وتفهم أنه ينبغي على الراعي، وفقًا لتقديره الخاص، تحديد اختيار المقاعد المقابلة للتذاكر الصادرة كجزء من الجائزة، ولا يجوز له إثارة أي اعتراض فيما يتعلق بذلك.

3- سيتم التواصل مع الفائزين من خلال بيانات جهة الاتصال المقدمة مع الإدخال. سيُطلب من هؤلاء الفائزين تنفيذ أي وجميع المستندات القانونية التي تطلبها الشركة لتمكين قبول الجائزة وتسليمها، بما في ذلك إصدارات الصور والحقوق إذا شارك الفائز في الدعاية التي تنظمها الشركة. في حالة عدم تمكن الفائز من التحقق من تفاصيل الأهلية، سيتم استبعاد الفائز المذكور من المسابقة، وفقًا لتقدير الشركة وحدها ولن يكون مؤهلاً للحصول على الجائزة. يوافق كل فائز أيضًا ويقر بأن الجائزة قد تخضع لشروط وأحكام إضافية قد يفرضها مقدمو الطرف الثالث (بما في ذلك الراعي)، من وقت لآخر ويوافق الفائزون على الالتزام بهذه الشروط والأحكام، دون اللجوء إلى الشركة. إلى الحد الأقصى المسموح به بموجب القانون المعمول به، لن تكون الشركة مسؤولة عن الخسارة من أي نوع، و/أو أي إصابة جسدية و/أو عجز و/أو تشوه و/أو صدمة عقلية و/أو وفاة قد تحدث (أحداث) أي مشارك تعتبر مشاركته غير صالحة و/أو لم يتم اختياره فائزًا. بغض النظر عن أي شيء مخالف وإلى الحد الأقصى المسموح به بموجب القانون المعمول به، لا تقدم الشركة و/أو الكيانات التجارية التابعة للشركة أي إقرار أو ضمانات، سواء كانت صريحة أو ضمنية، فيما يتعلق بالمسابقة و/أو الجائزة بما في ذلك ما يتعلق بملاءمة الجائزة أو قابليتها للتسويق.

4- في حال رأت الشركة أن أيًا من المشاركين غير مؤهل ليتم اختياره كفائز، فيجوز للشركة ممارسة تقديرها بعدم اختيار أي فائز. لا يعتبر أي تأخير أو فشل في تسليم الجائزة لأسباب خارجة عن سيطرة الراعي بمثابة خرق لهذه الشروط والأحكام من قبل الراعي / الشركة / الكيانات التجارية التابعة للشركة.

5- لن تكون الشركة مسؤولة إذا (أولاً) لم يكن الفائز (الفائزون) متاحًا في تفاصيل الاتصال المقدمة من قبلهم في المشاركات؛ و/أو (ثانيًا) فشل الفائز (الفائزون) في استلام الجائزة وفقًا للمراسلات الواردة من الشركة/الراعي ونتيجة لذلك يفقد الفائز (الفائزون) فرصتهم في استلام الجوائز. فيما يتعلق (أولاً) الوارد أعلاه، ينبغي على الشركة إجراء محاولة واحدة (1) فقط للوصول إلى الفائز (الفائزين). وفي حالة عدم عودتهم خلال الجدول الزمني المحدد في اتصالات الشركة مع هذا الفائز، فسيتم إبطال الاختيار، ولن تكون الشركة مسؤولة تجاه هذا الفائز (الفائزين) بأي شكل من الأشكال. لتجنب الشك، تم التوضيح أنه إذا تم إبطال اختيار الفائز بسبب عدم استجابته لاتصالات الشركة و/أو الفشل في استلام الجائزة وفقًا للشروط المنصوص عليها في هذا العقد، يكون للشركة الحق (ولكن ليس الالتزام) لاختيار المشارك المؤهل التالي ليكون الفائز.

6- لن تكون الشركة مسؤولة تجاه أي فائز عن أي خسارة / ضرر يلحق بشخصه أو ممتلكاته بسبب / تكبدها أثناء استلام الفائزين للجائزة، ويتعين على الفائز (الفائزين) تعويض الشركة عن أي خسارة تكبدتها نتيجة لذلك نفس.

7- يتعين على المشارك (المشتركين) التأكد من أن مشاركتهم أصلية ولائقة وليست غير أخلاقية أو فاحشة أو تشهيرية أو مهينة أو مسيئة أو عدوانية أو غير حساسة أو تشهيرية أو مفضح لأي شخص ولا تنتهك حق الخصوصية لأي شخص. يوافق المشارك (المشاركون) أيضًا ويؤكد أن دخولهم في المسابقة يتوافق مع جميع القوانين المعمول بها في الإقليم ويوافق على إبقاء الشركة و/أو الكيانات التجارية التابعة للشركة و/أو الراعي معفاة من أي مطالبة بهذا الشأن. يؤدي أي عدم امتثال لهذا الشرط إلى الاستبعاد الفوري للمشارك (المشاركين) المعني دون أي مسؤولية تجاه الشركة أو الشركات التابعة للشركة أو الراعي.

8- إذا انخرط أي مشارك في أي سلوك تعتقد الشركة وفقًا لتقديرها الخاص أنه يضر بروح المسابقة، فسيؤدي ذلك إلى استبعاد هذا المشارك من المسابقة واستلام أي جائزة.

9- إذا كان أي فائز تم اختياره غير قادر على المطالبة بالجائزة أو لم يطالب بها لأي سبب من الأسباب، فسيتم اعتباره منسحبًا من المسابقة ومصادرة حقه في المطالبة بالجائزة.

10- تكون جميع القرارات التي تتخذها الشركة نهائية وملزمة ولا تخضع لأي استئناف مهما كانت طبيعته. يُفسر الدخول في المسابقة على أنه يعني أن المشارك (المشاركين) قد تنازل عن حقه في الاعتراض على أي قرار (قرارات) اتخذتها الشركة، إلى الحد الأقصى الذي يسمح به القانون.

11- تحتفظ الشركة بالحق في تغيير الجائزة أو سحبها في أي وقت (أ) إذا فشل الفائز (الفائزون) المختارون في الالتزام بأي من شروط المسابقة و/أو القوانين المعمول بها؛ أو (ب) البقاء ملتزمًا بالقوانين المعمول بها.

12- إلى الحد الأقصى المسموح به بموجب القوانين المعمول بها، (أ) لا تتحمل الشركة والكيانات التجارية التابعة للشركة والراعي أي مسؤولية ولا تتحمل أي مسؤولية عن أي أضرار أو خسائر أو إصابات أو إزعاج أو أي التزامات أخرى من أي نوع كانت تنشأ فيما يتعلق بالوفاء بأي جائزة؛ (ب) يُعفي المشارك بموجب هذا الشركة والكيانات التجارية التابعة للشركة والراعي من أي وجميع المسؤوليات الناشئة عن أي إصابات شخصية أو فقدان أو تلف في الممتلكات أو إساءة استخدام الجائزة المقدمة بموجب هذه المسابقة، سواء بشكل مباشر أو غير مباشر، بسبب قبول المسابقة أو حيازتها أو المشاركة فيها، بما في ذلك أثناء شحن الجائزة إلى الفائز (إن أمكن).

13- في حالة فشل المشارك (المشاركين) و/أو الفائز (الفائزين) في تقديم أي مستندات تطلبها الشركة لغرض التحقق من الامتثال لهذه الشروط والأحكام، فسيتم استبعاد هذا المشارك (المشاركين) و/أو الفائز (الفائزين) دون أي مسؤولية تجاه الشركة.

14- الجوائز غير قابلة للاسترداد وغير قابلة للتحويل وغير قابلة للاستبدال. لغرض التوضيح، لن يتم منح أي جائزة نقدية معادلة أو بديلة للفائز (الفائزين) ولا يمكن للفائز (الفائزين) استبدال الجائزة (الجوائز) بهدية ذات قيمة معادلة، و/أو تصفية الجائزة في النموذج نقدا أو أموالا أو أي طبيعة أخرى من المصالح. كما لا يجوز ضم الجائزة أو تعديلها أو تغييرها. علاوة على ذلك، فإن الجائزة التي تم الفوز بها هي شخصية للفائز (الفائزين) ولا يمكن للفائز (الفائزين) نقل الجائزة إلى أي شخص (أشخاص) آخر باستثناء مشاركة الجائزة مع رفيق من اختيارهم.

‌و- وفرت لك الشركة خيار إلغاء الاشتراك في تقديم معلوماتك الشخصية.
‌ز- أنت تقر صراحةً بأنه يجوز للشركة/الكيانات التجارية التابعة للشركة/الراعي مشاركة البيانات مع وكالات إنفاذ القانون و/أو السلطات الأخرى المعمول بها للامتثال للالتزامات القانونية.
‌ح- أنت توافق بموجب هذا على الالتزام بشروط المسابقة.

(خامساً) الشروط الإضافية:

1- يتعين على الفائز (الفائزون) أيضًا الالتزام بأي متطلبات إضافية قد يتم نشرها و/أو عرضها و/أو إبلاغها من قبل الشركة من وقت لآخر.

9- يوافق المشاركون على عدم استضافة أو عرض أو تحميل أو تعديل أو نشر أو نقل أو تحديث أو مشاركة أي معلومات تخص شخص آخر ولا يملك المستخدم أي حق فيها، أو ينتهك أي براءة اختراع أو علامة تجارية أو حقوق الطبع والنشر أو حقوق الملكية الأخرى، ينتحل شخصية شخص آخر، أو ينتهك خصوصية شخص آخر، أو يحض على الكراهية، أو يكون مرفوضًا عنصريًا، أو عرقيًا، أو مهينًا و/أو ينتهك أي قانون ساري المدة في الوقت الحالي،

10- لن تكون الشركة مسؤولة تجاهك عن التأخير أو الفشل في أداء التزاماتها المنصوص عليها أدناه بسبب وقوع كارثة طبيعية، أو القضاء والقدر، أو أعمال الشغب، أو الإرهاب، أو أي حدث آخر خارج عن السيطرة المعقولة للطرف. يوافق الفائز (الفائزون) على أنه إذا أصبح لأي سبب من الأسباب، خارج نطاق سيطرة الشركة، الجائزة و/أو أي شيء يتعلق بالجائزة و/أو الاستمتاع بالجائزة غير فعال أو غير صالح، فلا يمكن للشركة الاحتفاظ بالجائزة مسؤول و/أو مسؤول عن ذلك.

11- الشركة ليست مسؤولة بأي حال من الأحوال و/أو لن تتحمل المسؤولية بأي شكل من الأشكال عن أي إصابة أو مرض أو عدوى أو وفاة أو صدمة عقلية تسبب للمشارك (المشاركين) و/أو الفائز (الفائزين) في أي بأي طريقة كانت أو لأي سبب كان فيما يتعلق بالمسابقة و/أو الجوائز.

12- يتعين على الفائز (الفائزين) القيام بأي وجميع الأعمال وتنفيذ أي وجميع المستندات بالطريقة التي قد تطلبها الشركة وفقًا لتقديرها الوحيد والمطلق لحماية أو إكمال أو إنفاذ أي من الحقوق الممنوحة أو المؤكدة للشركة في حالة الفشل حيث سيتم مصادرة اختيارهم.

13- إذا كان أي شرط من شروط المسابقة هذه غير قابل للتنفيذ أو غير صالح بموجب القوانين المعمول بها، فسيتم تعديل الحكم المذكور إلى الحد اللازم، وعلى أي حال، ستظل الأحكام المتبقية صالحة وقابلة للتنفيذ.

The following terms and conditions (“Terms and Conditions”) govern the entire process for participation in the “Wish Movie Contest” (“Contest”) and shall be binding on each participant (“Participant”, “your” and/or “you”) residing in the United Arab Emirates (UAE) (the “Territory”) who voluntarily participates in the Contest hosted by Star Asianet Middle East FZ LLC together with its affiliates, associates, agencies etc., as the case may be (collectively referred to as “Company”) and sets out inter alia terms of your participation in the Contest and selection of the Winner(s) of the Contest. The Contest is inter alia for the promotion of the Movie (defined below).

Your act of participating in the Contest shall be deemed to be your absolute agreement to the rules and regulations, Terms and Conditions and Privacy Policy available at [https://www.disneystar.com/legal-terms-policies/terms/contest-terms-conditions/wish-movie-contest-same-privacy-policy/] (“Privacy Policy”) as prescribed by the Company from time to time (hereinafter collectively referred to as the “Contest Terms”). Your continuing participation in the Contest will be deemed as your acceptance to these Terms and Conditions and Privacy Policy. Notwithstanding anything to the contrary, in the event Company does not share links of these Terms and Conditions and Privacy Policy, for any reason whatsoever, it will not be deemed as a breach by Company of these Terms and Conditions. If you do not agree to be bound or cannot comply with any of the Contest Terms, please do not continue. Your failure to comply with and accept these Contest Terms in entirety will disqualify your participation in the Contest.

The Contest shall be governed by the Contest Terms, and, by entering the Contest, each Participant acknowledges that they have read and understood, and unconditionally agree to comply with and abide by these Contest Terms. It is clarified that the Company’s decisions on all matters relating to the Contest shall be final and binding in all respects. You represent that your participation in the Contest is on a voluntary and unsolicited basis.

The Privacy Policy shall govern all collection, storage, usage, transfer, retention, and disclosure of any Personal Information (ad defined below) and/or any other information as detailed in the Privacy Policy, including but not limited to, information in relation to your participation in the Contest, gathered under, or pursuant to this Contest by the Company (if any) (together “Data”). By participating in the Contest:

(a) You are authorising Company and its group companies and their employees, authorised representatives, agents, and assigns (together, “Company Entities”) to collect, use, store, transfer, and disclose your Data;
(b) You acknowledge that Data is required to be collected by Company and/or Company Entities in relation to your participation in the Contest. Your refusal to provide Company and/or Company Entities with certain information would entitle Company to disqualify you from participation in the Contest.
(c) You are authorizing Company and Company Entities to contact you using automatic telephone dialling systems, automatic texting systems, and artificial or prerecorded messages, including without limitation interactive voice responses and hotlines. By participating in the Contest, you represent that you are the owner or customary user of the Facebook and Instagram ID from which you participated in the Contest. You also represent that you are the owner or customary user of the mobile phone number, including WhatsApp number/ email id submitted as part of the Entry.
(d) Third-party partners, including Instagram, WhatsApp and/or any other communications partners will have access to inter alia metadata relating to communications (including the Entry) sent by you to Company. The extent to which such partners can access the content of communications will vary. You should review the privacy policies of such third parties before participating. The Company is not responsible for the use of your Data by such parties.
(e) You hereby acknowledge and agree to all the foregoing.

The Contest shall commence from and shall conclude on the dates specified in the Contest promos (“Contest Period”). Any change in the Contest Period will be communicated by Company via the Social Media Pages and/or such other mode of communication at the sole discretion of Company. For the avoidance of doubt, it is clarified that the Entries must be submitted within the Contest Period. However, the Winners may be selected and the Prizes may be made available by the Sponsor after the end of the Contest Period.

You agree and acknowledge that you are not required to make any payments to Company/ Company Entities/ Sponsor for participating in the Content. However, you understand and acknowledge that your telecom service provider may impose standard internet charges as per applicable rates as well as premium charges on you for visiting the website/ access of Social Media Pages for participating/ internet service provider may impose certain charges on you for use of their applicable services in relation to your participation in the Contest, which shall be borne solely by you. Company recommends you check with your service provider for schedule of charges that may apply.

(I) Participants’ Eligibility

To participate in the Contest the Participant(s) must comply with the below:

1. The Participant(s) must be individual residents of the Territory and submit valid proof of residence within the Territory as and when required by the Company, and are not citizens of any sanctioned country (where sanctioned country means Russian Federation, Donetsk People’s Republic, Luhansk People’s Republic, Belarus, Burma (Myanmar), Crimea, Cuba, Democratic Republic of Congo, Iran, Ivory Coast, Liberia, North Korea, Somalia, Sudan, Syria, Zimbabwe and any other country against whom the U.S. economic sanctions programs are or may be maintained by the U.S. Government, as may be updated from time-to-time).

2. The Participant(s) are not on any list of Specially Designated Nationals and Blocked Persons issued by the US Treasury Department’s Office of Foreign Assets Control:

3. The Participant(s) must be aged 18 (eighteen) years or above at the start date of the Contest Period.

4. The Participant(s) should not be subject to any restriction, or have an arrangement or a contract that prevents the Participant(s) from participating in the Contest. The Participant(s) should be legally eligible, as per the laws of the jurisdiction to which the Participant(s) is(are) subject, to enter into a contract.

5. The Participant, and/or their immediate family members, should not be an employee (permanent or contracted) and/or director, of: (i) the Company; (ii) Company Entities; (iii) Sponsor; and (iv) advertising and promotion agencies, the distributors, suppliers of prizes, including each of their parent, subsidiary and affiliated companies and/or entities connected with the promotion of the Contest.

6. The Company reserves the right to verify the eligibility of all Participants.

7. Non-conformance by the Participant(s) with any and all of the Contest Terms or as set by the Company from time to time will make such Participant’s participation in the Contest null and void.

(II) Participation Mechanism:

1. During the Contest Period, one or more questions related to the movie “Wish” (“Movie”) with three options – two incorrect options and one correct option (each a “Question” and collectively “Questions”) shall be posted by the Company on any or all of the following social media pages: Star Plus Middle East page on Facebook, Star Plus Middle East page on Instagram, Asianet Middle East page on Facebook (together “Social Media Page”).

2. To enter the Contest, Participants must follow the Social Media Page(s) during the Contest Period and share the correct answer to the Questions no later than the date and time specified (“Cut-Off Time”) in the Contest promos and communications (“Contest Promos”). To send in their answers to the Questions, Participant(s) may Direct Message (DM) the correct answer to Star Asianet Middle East’s Social Media Pages - Star Plus Middle East Facebook page [https://www.facebook.com/STARPlusMiddleEast], or Star Plus Middle East Instagram page [https://www.instagram.com/starplusmiddleeast], or Asianet Middle East Facebook page [https://www.facebook.com/AsianetME/] along with their mobile number (starting with UAE Country Code ‘+971’) in the prescribed format (“Entry”). The format for sending the Entry shall be as provided in the Contest Promos. Company reserves the right to change the format for sharing Entry(ies) at any time during the Contest Period at its sole discretion, in which event the same will be communicated by Company via the Social Media Page and/or such other mode of communication at the sole discretion of Company. Any entries sent via any other mode(s) of communication, including without limitation, to any other social media pages of Company other than the Social Media Page set out above or in a format other than as prescribed above shall not be considered as a valid entry for the Contest. For the purposes of this Contest, the user of the Facebook/ Instagram account from which the Entries are sent to Company shall be deemed to be the Participant.

3. Only the first Entry for the applicable Question by a Participant shall be allowed and considered for the purpose of shortlisting. For the sake of clarity, if a Participant has submitted multiple Entries for the same Question, only the first Entry for that Question shall be considered, and any subsequent Entry(ies) shall be considered null and void. Further, any entry sent after the Cut-Off Times for a Question will not be considered a valid Entry.

4. Each Entry should provide all required information requested from the Participant(s). If the same is not complied with, then the Entry will not be considered for the Contest and will be disqualified. All information submitted by a Participant must be accurate and complete and are subject to the provision of proof(s) by such Participant, upon request by the Company. It is clarified that Participants who have already provided the required information in a previous Entry shall be required to provide the required information again in every fresh Entry that they submit.

5. Participant(s) must enter the Contest on their own behalf only and Entry(ies) by proxies shall not be accepted.

6. The Entries received before the commencement and/or after the expiration of the Contest Period shall be void. The Company’s determination of the date and time of receipt of Entries shall be final and binding on all Participants. Any incomplete and/or illegible Entries will result in disqualification from participation in the Contest and the receipt of any Prize.

7. The Company shall not be responsible for any Entry submitted but not received or recorded due to any reason whatsoever. Without limiting the generality of the foregoing, the Company shall not be responsible and/or liable in any manner whatsoever for (a) any acts or omission of any third-party service providers, including failure in receipt of/ delivery of any messages, including without limitation, downtime Facebook/ Instagram’s servers, network problems (including unclear network), breakdown of machinery, disruption in the network and/or the internet /network costs charged by the telecom/mobile/network operator etc. that the Participant may incur while participating in the Contest; (b) lost, invalid, misdirected, late, incomplete or unintelligible entries or for inaccurate entry information, whether caused by the Participants or by any technical or human errors of any nature whatsoever that may occur in the processing of such entries; (c) any error in the operation or transmission, theft, destruction, unauthorized access to, or alteration of entries, or for technical, network, computer, hardware or software malfunctions of any kind, or inaccurate transmission of, or failure to receive any entry information on account of technical problems or traffic congestion on the internet or at any website, that results in an Entry not being received. Any automated receipt of confirmation does not constitute proof of actual receipt of the Entry.

8. Only eligible Entries received from eligible Participants, during the Contest Period, will be considered for the Contest. Each Participant represents that the Entry is authentic and not fabricated for the purposes of the Contest.

9. The Participant(s) agrees that the Entry shall be free of any virus/trojans/spyware/malware or any such program which may harm the recipient’s computers/ system/servers etc. or contain any links which are intended to harm and/or provide unauthorized access to the recipient’s computer and the data therein.

10. Certain selected Participants will be eligible to receive the Prize (as defined below) in accordance with the Selection Process and Gratification section below.

(III) Selection Process and Gratification:

1. Company shall within seven (7) days after the expiry of the Contest Period or as otherwise decided by the Company in its sole discretion, randomly shortlist no more than 5 (five) Participants (using a randomiser to select the winner from among all Participants who have answered the Question(s) correctly) who will be eligible to receive the Prize (each a “Winner” and collectively “Winners”) as per the Contest Terms. Such Winners shall be required to fulfil all of the requirements set out in these Terms and Conditions including submitting of valid Documents (defined herein below) to the satisfaction of STAR.

2. Each Winner(s) will stand a chance to win 2 (two) tickets/invites for the Movie (“Prize”) which will be made available by the Sponsor, the Prize may be accompanied by other benefits issued at the Sponsor’s discretion closer to the time of Gratification. It is expressly clarified that the Sponsor is making available the Prize and to the maximum extent permitted under applicable laws, Company/ Company Entities shall not be held responsible or liable in relation to the same. The Prize may be in the form of physical tickets, invitation mail or digital codes at the sole discretion of the Company. If the Sponsor, at its sole discretion elects to issue physical tickets as the Prize, the Winners shall be required to collect the physical tickets on such date and from such location as communicated either by the Company (for and on behalf of the Sponsor) or the Sponsor directly. You agree and understand that Sponsor shall at its sole discretion determine the choice of seats corresponding to the tickets issued as part of the Prize and shall not raise any objection in relation to the same.

3. The Winners will be contacted through the contact details provided with the Entry. Such Winners will be required to execute any and all legal documents as required by the Company to enable acceptance and handover of the Prize, including image and rights releases if the Winner participates in publicity organised by the Company. In case a Winner is unable to verify the eligibility details, the said Winner shall be disqualified from the Contest, at the sole discretion of the Company and shall not be eligible to receive the Prize. Each Winner further agrees and acknowledges that the Prize may be subject to additional terms and conditions as may be imposed by third-party providers (including Sponsor), from time to time and the Winners agree to adhere to such terms and conditions, without any recourse to the Company. To the maximum extent permitted under applicable law, Company shall not be responsible for loss of any nature, and/or any physical injury and/or disability and/or disfigurement and/or mental trauma and/or death that may occur/ occurs to any Participant, whose participation has been considered as invalid and/or not selected a winner. Notwithstanding anything to the contrary and to the maximum extent permitted under applicable law, the Company and/or Company Entities make no representation and warranties, whether express or implied, with respect to the Contest and/or Prize including in relation to fitness or merchantability of the Prize.

4. In the event that the Company is of the opinion none of the Participants are eligible to be selected as a Winner, then the Company may exercise its discretion not to select any Winner. Any delay or failure in delivery of the Prize for reasons not in the control of the Sponsor, shall not be deemed as a breach of these Terms and Conditions by Sponsor/ Company/ Company Entities.

5. The Company shall not be responsible if (i) the Winner(s) are not available at the contact details provided by them in the Entries; and/or (ii) the Winner(s) fails to collect the Prize in accordance with the communication from Company/ Sponsor and as a result of which the Winner(s) loses their chance to receive the Prizes. In relation to (i) above, Company shall make only one (1) attempt to reach the Winner(s). In case they do not revert within the timeline specified in the Company’s communication to such Winner, the selection shall be invalidated, and Company shall not be liable to such Winner(s) in any manner whatsoever. For the avoidance of doubt, it is clarified that if a Winner’s selection is invalidated due to their non-response to the Company’s communication and/or failure to collect the Prize as per terms set out herein, the Company shall have the right (but not the obligation) to select the next eligible Participant as the Winner.

6. The Company shall not be liable to any Winner for any loss/ damage to their person or property caused/incurred during the Winners’ receipt of the Prize and the Winner(s) shall keep the Company indemnified for any loss suffered as a result of the same.

7. The Participant(s) shall ensure that their entry is original, decent and is not immoral, obscene, defamatory, derogatory, abusive, offensive, insensitive, libellous or blasphemous to any person nor does it violate the right to privacy of any person. The Participant(s) also agrees and confirms that their entry for the contest is in compliance with all applicable laws of the Territory and agrees to keep the Company, Company Entities and/or Sponsor indemnified from any claim thereto. Any non-compliance with this clause shall lead to the immediate disqualification of the Participant(s) concerned without any liability to the Company, Company Affiliates, or the Sponsor.

8. If any Participant engages in any behaviour that the Company in its sole discretion believes to be prejudicial to the spirit of the Contest, it will result in such Participant’s disqualification from the Contest and the receipt of any Prize.

9. If any selected Winner is unable to or does not claim the Prize for any reason whatsoever, they shall be deemed to have withdrawn from the Contest and forfeited their right to claim the Prize.

10. All decisions taken by the Company shall be final and binding and shall not be subject to any appeal of any nature whatsoever. Entry in the Contest shall be construed to mean that the Participant(s) has(ve) waived their right to dispute any decision(s) made by the Company, to the maximum extent permissible by law.

11. The Company reserves the right to change or withdraw the Prize at any time (a) if the selected Winner(s) fails to comply with any of the Contest Terms and/or applicable laws; or (b) to remain in compliance with applicable laws.

12. To the maximum extent permissible under applicable laws, (a) Company, Company Entities, and Sponsor assume no responsibility and shall not be held liable for any damages, losses, injuries, inconvenience, or any other liabilities of any nature whatsoever arising in connection with the fulfilment of any Prize; (b) Participant hereby releases Company, Company Entities, and Sponsor from any and all liability arising out of any personal injuries, property loss or damage, and misuse of the Prize offered under this Contest, whether directly or indirectly, by reason of the acceptance, possession, or participation in the Contest including during shipping of the Prize to the Winner (if applicable).

13. In case Participant(s) and/or Winner(s) fail to produce any documents required by the Company for the purpose of verification of compliance with these Terms and Conditions, such Participant(s) and/or Winner(s) shall stand disqualified without any liability to the Company.

14. The Prizes are non-refundable, non-transferrable and non-exchangeable. For the purpose of clarity, no cash equivalent or alternative prize shall be given to the Winner(s) and the Winner(s) cannot exchange the Prize(s) for a gift of equivalent value, and/or liquidate the Prize in the form of cash, monies or any other nature of interests. The Prize cannot be clubbed or modified or changed. Further, the Prize won is personal to the Winner(s) and the Winner(s) cannot transfer the Prize to any other person(s) save for sharing the Prize with a companion of their choice.

(IV) Consent for procuring Personal Information

1. In connection with participating in the Contest organized by the Company you hereby provide your consent for collection, storage, use, transfer and retention by Company/ Company Entities/ Sponsor of your personal information and sensitive personal data or information as defined under applicable laws, as may be amended from time to time (collectively, “Personal Information”) including but not limited to, information in relation to your participation in the Contest, information including Personal Information and Data provided by you and/or gathered under, or pursuant to this Contest by Company such as your phone number, address, email address etc, which are subject to: the Company’s personal data privacy policy available at [https://www.disneystar.com/legal-terms-policies/terms/contest-terms-conditions/wish-movie-contest-same-privacy-policy/] (“Privacy Policy”), which you have read and understood. Additionally, you agree and acknowledge to the following and consent to all of the below:

(a) Your Data (including but not limited to your name, age, your username, location/city, email ID, phone number and address) may be collected by Company and any and all of the Company Entities and/or Sponsor pursuant to the Contest Terms, in connection with the Contest. You hereby also agree that it may be/become necessary for the Company to collect the Data in connection with your participation in the Contest and for the uses set out below.
(b) Your Data will be collected, transferred, retained and used by the Company only for the Contest, including for administration of the Contest and for promotional/gratification purposes around the Contest and for no other purpose.
(c) Your Data may be used for the Contest, in various formats and media, including television, digital, social media, print for marketing and promotional activities in respect of the Contest on the STAR network.
(d) The Company has informed you of your rights to: (i) review your Data for deficiencies and inaccuracies, and request the Company to amend the Personal Information, to the extent deemed feasible by the Company; and (ii) withdraw the consent provided hereunder. Provided that the Company/ Company Entities/ Sponsor shall not be liable for any collection, storage, use, transfer or disclosure of your Data prior to such withdrawal of consent or request for amendment of your Data. Additionally, upon any such withdrawal of consent or request to review and amend your Data, the Company shall be entitled to disqualify your Entry and/or participation in the Contest, as deemed fit and necessary by the Company at its sole discretion.
(e) All your Data is true, correct and complete in all respects, and in no circumstances will the Company be liable for either the authenticity of the Personal Information or any inaccuracies or deficiencies in your Data.
(f) The Company has provided you with the option to opt out of providing your Personal Information.
(g) You expressly acknowledge that Data may be shared by Company/ Company Entities/ Sponsor with law enforcement agencies and/or other applicable authorities for compliance with legal obligations.
(h) You hereby agree to abide by the Contest Terms.

(V) Additional Terms:

1. The Winner(s) shall also be required to comply with any additional requirements as may be published, displayed and/or communicated by the Company, from time to time.

2. The Company reserves all rights to make amendments to the existing Contest Terms, including without limitation, change in the rules and structure, any element of the Content, the number of winners, nature of the Prize, dates and timelines for the Contest etc., or to reschedule, cancel, terminate or withdraw the Contest upon giving prior notice. Any such change will be updated on and the Social Media Pages. It shall be the sole responsibility of the Participant(s) to check any revisions to these Contest Terms on the Social Media Page. The Participant(s) and/or the Winner(s) hereby agree to be bound by the Contest Terms and/or by any subsequent revisions of the Contest Terms (“Revised Terms”). The Revised Terms (if any) shall supersede all prior Contest Terms.

3. The Participants will, at all times, engage in conduct with due regard to social conventions and public morals and will not commit any act which could bring Company, Company Entities, and/or Sponsor into public disrepute or reflect unfavourably on any such parties.

4. The Participant(s) and/or the Winner(s) hereby acknowledge and agree that the relationship between the Participant(s) and/or the Winner(s) and the Company is not a confidential, fiduciary, or other special relationship. Nothing herein shall be deemed to create a partnership, agency or an employer-employee relationship between the Participant and Company.

5. All Entries shall become the property of the Company and/or the Company Entities. By entering the Contest, the Participant(s) and/or the Winner(s) grant the Company and the Company Entities unlimited rights and the Sponsor limited rights to use of their names, social media handles, address, voice, photographs, statements and/or likeness including the Entry in any and all media without remuneration throughout the world in perpetuity for the purpose of publicity and/or advertising.

6. For the sake of clarity, all rights, title and interest in Entry shall vest with the Company and may be utilized by the Company at a later point in time, at its sole discretion. The Participant(s) and/or the Winner(s) hereby irrevocably, perpetually and for the entire world, assign all rights, title and interest including rights in any intellectual property vested in the Entry to the Company including but not limited to the right to make any adaptation, rights in any form of exploitation etc.

7. Except as expressly provided herein, all ancillary costs associated with the receipt or use of the Prize, whether direct and/or indirect, including without limitation charges, expenses, taxes, costs, etc. are the sole responsibility of the selected Winner(s).

8. By providing any Personal Information to the Company and/or entering the Contest, each Participant thereby waives their privacy rights and/or any privacy expectations they have with respect to the use of their likeness or personal information furnished to the Company. If a Participant does not wish to have their information and/or likeness viewed by or disclosed to others, they should not enter the Contest.

9. Participants agree to not host, display, upload, modify, publish, transmit, update or share any information that belongs to another person and to which the user does not have any right to, infringes any patent, trademark, copyright or other proprietary rights, impersonates another person, is invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging and/or violates any law for the time being in force,

10. The Company will not be liable to You for delay or failure to perform its obligations set out hereunder caused by an event of natural disaster, acts of God, riots, terrorism, or such other event that is beyond the reasonable control of the party. The Winner(s) agree that if due to any reason, whatsoever, beyond the control of the Company the Prize and/or anything in connection to the Prize and/or the enjoyment of the Prize becomes ineffective or invalid, the Company cannot be held responsible and/or liable for the same.

11. The Company is in no manner whatsoever responsible and/or shall not be held liable in any manner whatsoever, for any injury, illness, infection, death, mental trauma caused to the Participant(s) and/or the Winner(s) in any manner whatsoever or for any reason whatsoever in connection to the Contest and/or Prizes.

12. The Winner(s) shall do any and all acts and execute any and all documents in such manner as may be required by the Company in its sole and absolute discretion to protect, perfect or enforce any of the rights granted or confirmed to the Company failing which their selection shall be forfeited.

13. If any provision of these Contest Terms are unenforceable or invalid under applicable laws, the said provision shall be modified to the extent necessary, and in any event, the remaining provisions will continue to be valid and enforceable.

14. The Participant(s) and/or the Winner(s) shall fully indemnify, defend and hold harmless and keep indemnified the Company, together with its affiliates, officers, directors, employees and agents and the Sponsor (collectively the “Indemnified Persons”) from and against any and all losses, claims, actions, damages, liabilities, penalties, costs and expenses, (including without limitation reasonable attorneys’ fees and court fees) (collectively “Losses”), that the Indemnified Person may incur or suffer or likely to incur or suffer as a result of or arising out any (i) breach of any terms hereunder; (ii) wilful misconduct or negligent acts or omissions; and/or (iii) any claims by any third party for any losses, damages, costs, expenses, injuries suffered by such third party, arising out of or in relation to the Participant(s) and/or the Winner(s) during the Contest and/or enjoyment of the Prize. Under no circumstances will Company and/or the Company Entities and/or the Sponsor be liable for any consequential, indirect, special, punitive, or incidental damages or lost profits, whether direct or indirect, arising in any way whether in contract, tort (including negligence) or otherwise. Further, the Company shall under no circumstances be liable to any third-party platform, including any social media platforms for any reason whatsoever.

15. By participating in the Contest, it shall be construed that the Participant(s) and/or the Winner(s) have waived their right to raise any dispute with regard to the Contest and/or the Prizes and/or any decision of the Company, in any manner whatsoever, to the maximum extent permissible by applicable law.

16. The Contest shall be governed by and construed in accordance with the applicable laws of the United Arab Emirates. All matters with respect to the Contest are subject to the exclusive jurisdiction of the courts at Dubai.

17. To the fullest extent permitted by law, Company, including its affiliates, and each of their respective officers, directors, employees, third-party service providers, agents, Sponsor disclaim all warranties, express or implied, in connection with the Contest. Company makes no warranties or representations about the accuracy or completeness of content advertised by the Sponsor or the content of any websites linked to Company and assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies on Company, (ii) personal injury or property damage, of any nature whatsoever, resulting from the Participant’s participation in the Contest; and/or (iii) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available by Company, whether based on warranty, contract, tort, or any other legal theory, and whether or not the Participant is advised of the possibility of such damages. The foregoing shall apply to the fullest extent permitted by law in the applicable jurisdiction.

18. Limitations of Liability: By entering the contest, each Participant (which shall include all Winners) acknowledges and agrees that: (i) any and all disputes, claims and causes of action arising out of or in connection with the Contest, or any Prizes awarded, shall be resolved individually, without resort to any form of class action; and (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and associated with entering the Contest (if any) notwithstanding the foregoing, under no circumstances will the Company and/or the Company Entities be liable for any consequential, indirect, special punitive, or incidental damages or lost profits, whether direct or indirect, arising in any way whether in contract, tort (including negligence) or otherwise. The Participant’s participation in the Contest shall be at the Participant’s sole risk. The Participant acknowledges that the representations and warranties, indemnities, limitation of liability, governing law, dispute resolution, warranty disclaimer shall survive the efflux of time.

19. Any complains and/or questions in relation to the Contest and/or these Contest Terms should be sent to Company in writing and in English and to be sent:
